Enthusiast Gaming's second-quarter release, published from Toronto on August 12, 2026, led with a fourth consecutive quarter of positive adjusted EBITDA. Its interim financial statements, approved by the board the same day, tell a different story. All C$45.0 million of its debt is classified as current, because it is in breach of covenants for which, the statements say, waivers have not been received.
The Esports Advocate set the two documents side by side on August 19. The release does not use the words going concern, forbearance, default or covenant. The statements state that these factors represent a material uncertainty that casts substantial doubt on the company's use of the going concern assumption, the accounting basis that a business will keep operating over the coming year.
Enthusiast Gaming condensed consolidated interim financial statements for the six months ended June 30, 2026, approved August 12, 2026.
A former esports owner, now a gaming publisher
Enthusiast Gaming says in its release that it builds tools, platforms and experiences that gamers use every day. Its properties include Icy Veins, The Sims Resource, Fantasy Football Scout and Addicting Games, and it runs Pocket Gamer Connects, an event series for the games business. It reports its revenue in three lines: media and content, subscriptions and events.
Its esports past is in its own accounts. The statements describe Luminosity as the esports franchise through which the group owned and managed professional teams. That ended in 2025. Vertiqal Studios Corp. bought the shares of Omnia, GameCo, Luminosity and GameCo USA, together with the direct sales business, under a binding letter of intent dated August 16, 2025, in a sale that closed on August 30, 2025, for C$900,000 in cash plus the liabilities it took on. Those entities now sit in discontinued operations.

The Esports Advocate lists the brands among them, from Icy Veins and The Sims Resource to GameKnot and Pocket Gamer Connects.
Most of the balance sheet is made of those brands. Goodwill, the premium paid over the value of assets in past acquisitions, stood at C$31.6 million and other intangible assets at C$24.6 million, the statements show, together about 91% of total assets of C$61.5 million. Property and equipment was carried at C$5,356.
The quarter, as the release tells it
Revenue for the three months to June 30, 2026 was C$6.9 million, against C$7.1 million a year earlier, a fall of about 3%. Media and content brought C$3.5 million, against C$3.3 million; events C$1.0 million, against C$0.9 million; subscriptions C$2.5 million, against C$2.9 million. Gross margin, the share of revenue left after the direct cost of sales, rose to 89% from 88%.
Adjusted EBITDA, a measure of operating earnings that leaves out interest, tax, depreciation and a list of items the company chooses, was C$739,652 against C$286,829. Over twelve months, the company puts it at C$5.1 million. Chief executive Alex Macdonald said the quarter gave the company a full year of consistent profitability on that measure, and acknowledged in the same release that the legacy capital structure of the business remains a significant challenge.
The bottom line moved too. The quarter ended with net income of about C$0.3 million for continuing and discontinued operations together, against a net loss of C$39.1 million a year earlier. The positive figure came from a gain of C$543,133 on discontinued operations; continuing operations lost C$238,209 in the quarter. For the half year, revenue was C$16.4 million against C$16.1 million, adjusted EBITDA C$2.4 million against C$0.9 million, and the net loss from continuing operations was C$1.4 million against C$4.5 million.

The debt is owed to two lenders that rank one behind the other. A senior bank, which the filings do not name, holds first claim. Beedie Investments Ltd., known as Beedie Capital, lent C$20 million under a credit agreement dated July 12, 2024, and ranks behind the bank's term and operating facilities, The Esports Advocate notes.
| Lender | Owed | Forbearance |
|---|---|---|
| Senior bank (term and operating credit) | 16,536,304 | Extended day to day since December 31, 2025 |
| Beedie Capital (Term Loans A and B) | 28,511,268 | Ended March 31, 2026 |
Interim financial statements of Enthusiast Gaming, six months ended June 30, 2026. The two lines add up to C$45.0 million.
Forbearance is a lender's agreement not to demand repayment or enforce its security for a period, even though the borrower is in default. The bank's has been extended on a day-to-day basis since the end of 2025, which, The Esports Advocate notes, means it can be withdrawn without notice. The forbearance covering Beedie's Term Loans A and B ended on March 31, 2026, the statements say, and default interest on Term Loan B began to accrue on April 1.
The bank's share is made of a term credit of C$9,255,884, down from C$9,618,629 at the end of 2025, and an operating line drawn to C$7,280,420 against a limit of C$7,500,000. Monthly principal repayments of C$362,745 resumed in June 2026 at the bank's request, the statements say.
On the Beedie side, the rate on Term Loan A fell to 14% from April 1, 2026, and Term Loan B carries a fixed 16%, of which 8% is paid in cash and 8% in kind, meaning added to the principal. In the first half of 2026, C$640,064 of default interest and C$569,156 of paid-in-kind interest were added to the principal, C$1.21 million in all. The lenders also hold 43,042,215 warrants, rights to buy shares, at a weighted average price of C$0.084. Most are priced at C$0.083 and expire in July 2029 or July 2030, according to the statements.

Their valuation inputs assume a CCC+ credit rating and a credit spread, the extra yield over a risk-free rate, of 10.03%. That compares with 9.18% at the end of 2025 and 8.67% at the July 2025 revaluation, The Esports Advocate reports.
How the company got here
The debt problem was first made public a year earlier. On July 10, 2025, Enthusiast Gaming announced forbearance agreements with both lenders, signed the day before, after what it called certain defaults under each. The same release opened a strategic review, prompted, it said, by several unsolicited offers and expressions of interest.
- July 2024 loanBeedie Capital lends C$20 million, ranking behind the senior bank.
- July 2025 forbearanceBoth lenders agree not to enforce; a C$2 million term loan at 16% is added and a strategic review opens.
- August 2025 saleLuminosity and the other sold entities pass to Vertiqal Studios on August 30.
- End of 2025 targetThe review aimed for a definitive agreement by year end. None was announced.
- March 31, 2026Beedie's forbearance ends; the bank's continues day to day.
The agreements came with fresh money and new terms. They added a C$2 million term loan at 16% a year, half paid in cash and half in kind, secured on substantially all of the company's assets behind the bank and maturing on July 12, 2028, and the rate on the original credit agreement was set to fall to 14%, all paid in cash, from April 1, 2026. The 36,574,074 warrants issued to Beedie in 2024 were repriced from C$0.135 to C$0.083, a 15% premium over the five-day volume-weighted average share price as of July 9, 2025, and 6,005,178 new warrants went to the lenders. Norton Rose Fulbright Canada advised the company and Dentons Canada advised Beedie.
The company said it intended to enter a definitive agreement on a strategic transaction by the end of 2025. A special committee of three directors, John Albright as chair, Jordan Gnat and Thomas Hearne, was set up to run it, with Oakvale Capital Partners LLP as financial adviser. Under both agreements, the lenders undertook not to demand or accelerate repayment and not to enforce their security for the forbearance period. Default interest of 2.0% on the bank facility and 5.0% on the Beedie agreement was part of the terms, and the company undertook to put in place, by July 31, 2025, a plan for at least C$3 million of annualized cost savings, which it expected the sale of the direct sales business to deliver.

Gnat resigned from the board on May 13, 2026, The Esports Advocate reports, and neither the interim statements nor their management discussion mention the review or its adviser. The auditor's warning is older still: KPMG LLP first included a going-concern paragraph in its report dated April 1, 2024, on the 2023 accounts, according to the same outlet.
Cash, shares and what the market pays
The statements say the company's cash at June 30 is not sufficient to fund its planned operations. Cash stood at C$2.04 million, against C$3.26 million at the end of 2025, and operations used C$916,794 in the first half. Total assets were C$61.5 million and total liabilities C$59.4 million, leaving shareholders' equity of about C$2.1 million. The accumulated deficit, the sum of losses since the company began, reached C$486.2 million.
The share count has grown. In May 2026, the company settled a C$945,089 earn-out, a deferred payment linked to its 2021 purchase of Vedatis SAS, by issuing 22.4 million shares, The Esports Advocate reported, taking the total from 159.2 million to 181.5 million, a rise of 14%. The shares closed at C$0.045 on August 18, which puts the company's market value at about C$8.2 million. Their high, in April 2021, was C$11.10.
The release counts four profitable quarters; the statements count a debt that the lenders can call at any time.
What comes next
The statements set out the assumption management uses: if the lenders were to accelerate, they would require settlement by September 30, 2026. The same disclosure a quarter earlier assumed June 30, 2026, The Esports Advocate notes. Acceleration would make the loans due at once. The outlet lists as open questions whether Beedie has granted any extension since March 31 and whether the strategic review remains active.
The next set of figures is the third-quarter report, which the outlet expects in mid-November. According to the outlet, it will show whether the C$362,745 monthly payments to the bank continued and how much cash is left.
